Retail investors can be extraordinary power when voting on a general proposal. Proposal 2—an increase in the number of authorized shares—is a common proposal. Let me explain why your vote is more important than you might think.
Assume that you have made a purchase 10,000 shares with Fidelity. You are the shareholder, but Fidelity is the keeper. That means Fidelity holds the shares on your behalf.
Now imagine that Fidelity is its custodian 1,000 customers with a combined 50 million shares. If only 25 million of those shares were actually voted on a general proposal, Fidelity will vote remaining 25 million shares in equity based on the votes it receives.
So while you may think you only have one 10,000 votesin fact your vote can carry too much weight than you realized.
In many ways, this gives retail investors equal influence than large institutionstheir votes count only once for the shares they actually vote for.
So if you only have a few thousand shares and think your vote doesn't matter—it does more than you think.
Please vote YES to proposition 2. It really matters.
