There seems to be some confusion about whether the company will do a reverse stock split. Let me clarify.
Proposal 2 is about increasing the number of authorized shares.
If proposal 2 passes:
- Company I WILL NOT make a reverse stock split unless the shareholders specifically approve it at a future meeting.
- I want to be very clear: board STRONGLY DISPUTED in reverse stock split.
If proposal 2 does not pass:
- Company IT WILL BE NEEDED use reverse stock splits to meet our contractual obligations.
- We already have shareholder approval to do a reverse split in the distance 1-for-5 up to 1-for-200.
- We don't want to do a reverse stock split. That is why we encourage shareholders to vote yes for proposition 2.
There should be no misunderstanding: if proposal 2 passes, we will not do a reverse stock split.
So I encourage everyone to vote yes. Remember, Abstention or abstention is a non-vote. If you know shareholders who have not voted or did not vote, please encourage them to vote yes.
