Update on Proposition 2 Vote – Within ~1% of Vote Safety

We are making good progress in obtaining approval for Proposal 2, increasing the number of authorized shares available for issuance. As of Thursday, the number of votes required has been reduced by almost two-thirds, and is now in about 1% of the total balance shares required to pass the proposal. That progress would not have been possible without the support of our shareholders. Thank you.

We're close, but we're not done yet.

If you didn't vote, or if you voted no or don't vote, I ask you to reconsider. If proposal 2 does not pass, the company will need to use a reverse stock split to increase the number of its authorized shares available for issuance to meet our contractual obligations—an outcome that no one wants.

If you haven't voted yet, please do so. Every vote really counts.

Below is a reminder of how to vote on Proposition 2.

If you have not received your proxy voting materials by email or mail, contact your vendor as soon as possible to request a control number to vote online.
